Terms of Service

1. Acceptance of Terms
By accessing or using the Sioree platform ("Platform"), operated by Sioree Inc. ("Sioree," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
2. Platform Description — Marketplace Facilitator
Sioree is a technology platform that connects event hosts ("Hosts") with venues, talent, staff, and other service providers ("Vendors"). Sioree is a marketplace facilitator, not a party to transactions between Hosts and Vendors. We do not own, operate, or manage any venues. We do not employ or control any Vendors. We do not guarantee the quality, safety, legality, or availability of any services offered through the Platform.
3. AI-Powered Services
Sioree uses artificial intelligence to provide the following services on behalf of Hosts:
- AI Voice Calls: Our AI assistant may place and receive telephone calls to Vendors on your behalf. These calls use artificial intelligence to generate speech in real time and are subject to your explicit consent (see Section 4).
- AI Email Outreach: Our AI generates and sends inquiry emails to Vendors using your event details.
- AI Recommendations: Our AI provides suggestions for vendors, compliance requirements, and event planning decisions. These are informational only and do not constitute legal, financial, or safety advice.
AI-generated content may contain errors. You are responsible for reviewing and verifying all AI-generated communications, recommendations, and outputs before relying on them.
4. Consent for AI Voice Communications
By enabling AI-assisted outreach, you provide prior express written consent for Sioree to initiate telephone calls using artificial intelligence voice technology on your behalf. These calls are governed by the Telephone Consumer Protection Act (TCPA) and applicable FCC regulations. You may revoke this consent at any time through your event settings. All AI-initiated calls will identify themselves as AI at the start of the call.
5. Host Responsibilities
As a Host, you are solely responsible for:
- Obtaining all required permits, licenses, and insurance for your event
- Complying with all applicable local, state, and federal laws
- Ensuring the safety of event attendees
- Verifying the credentials and qualifications of Vendors you hire
- Maintaining adequate liability insurance coverage
- Payment of all fees, deposits, and vendor costs associated with your event
- Compliance with alcohol service laws, noise ordinances, fire codes, and ADA requirements
Sioree's compliance engine provides informational guidance about common requirements. This guidance does not constitute legal advice. You should consult qualified legal and insurance professionals for your specific situation.
6. Vendor Relationships
Sioree does not employ, endorse, or guarantee any Vendor on the Platform. Vendor profiles, ratings, and reviews are provided for informational purposes. All contracts and agreements are between the Host and the Vendor directly. Sioree is not a party to, and bears no liability for, any dispute between Hosts and Vendors.
7. Payments, Escrow & Fees
Payment processing is provided by Stripe. By using payment features, you agree to Stripe's terms of service. Event deposits may be held in escrow pending vendor confirmation. Sioree charges a platform fee (disclosed at checkout) on applicable transactions. Refund policies vary by vendor and are subject to each vendor's cancellation terms.
8. GaaS (Agent-as-a-Service) Usage Billing
AI agent actions (outreach emails, voice calls, pipeline steps) accrue metered charges tracked in your usage ledger. You are responsible for all accrued usage charges. Usage is subject to per-event spending caps, which you may adjust in your settings.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIOREE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY VENDOR, HOST, OR THIRD PARTY; (C) AI-GENERATED CONTENT, RECOMMENDATIONS, OR COMMUNICATIONS; (D) EVENT INCIDENTS, INJURIES, OR PROPERTY DAMAGE; OR (E) UNAUTHORIZED ACCESS TO YOUR ACCOUNT.
IN NO EVENT SHALL SIOREE'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SIOREE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.
10. Indemnification
You agree to indemnify, defend, and hold harmless Sioree and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your events; (c) your violation of these Terms; (d) your violation of any law or regulation; or (e) disputes with Vendors or event attendees.
11. Dispute Resolution & Arbitration
Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall be conducted in New York, NY. You waive any right to participate in a class action lawsuit or class-wide arbitration.
12. Eligibility
You must be at least 18 years old and legally capable of entering binding contracts to use paid features of the Platform. Users under 21 may not create events that include alcohol service unless a licensed vendor of legal age manages all alcohol-related operations.
13. Account Termination
We may suspend or terminate your account at any time for violation of these Terms, abusive behavior, or at our sole discretion. You may delete your account at any time through your privacy settings or by contacting support.
14. Modifications
We may update these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
