Non-Disclosure Agreement
Mutual NDA for confidential event details between parties involved in event production.
1. Purpose
This Non-Disclosure Agreement ("NDA") is entered into to protect confidential information shared between the parties in connection with event planning and execution through the Sioree platform.
2. Confidential Information
"Confidential Information" includes: event details (dates, venues, guest lists, budgets), vendor arrangements and rates, talent booking terms, proprietary event concepts, marketing materials not yet public, and any information marked as confidential.
3. Obligations
Each party agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose it to any third party without prior written consent; (c) use it only for the purpose of event collaboration; (d) take reasonable measures to protect it from unauthorized disclosure.
4. Exclusions
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed without reference to the confidential information; (d) is required to be disclosed by law.
5. Duration
This NDA remains in effect for two (2) years from the date of last disclosure of Confidential Information, or until the information ceases to be confidential, whichever occurs first.
6. Remedies
The parties acknowledge that breach of this NDA may cause irreparable harm. The disclosing party is entitled to seek injunctive relief in addition to any other available legal remedies.
